Welcome to Roof Positive. By accessing or usingroofpositive.com (the “Service”), you agree to be bound by these Terms of Use (“Terms”). These Terms apply to anyone who registers for, accesses, browses, or otherwise uses the Service (“user” or “you”), whether you are:
A Homeowner seeking roofing or home improvement services; or
A Contractor offering roofing or home improvement services.
These Terms also incorporate all other rules, policies, and agreements posted on the Service, including our Terms & Conditions for Contractors, which are hereby incorporated by reference. If you use the Service on behalf of an organization, “you” also includes that organization.
Roof Positive, “we,” or “us,” operates the Service. Our processing of personal data is described in our Privacy Policy.
By using the Service, you represent and warrant that you:
Have read, understand, and agree to be legally bound by these Terms;
Are of the age of majority in your jurisdiction;
If acting on behalf of an organization, have authority to bind that organization;
If a Homeowner, are the owner of the property or have authority from the owner to request services;
Will comply with all applicable laws and regulations.
If you do not agree to these Terms, please do not use the Service.
1. Roof Positive Services for Homeowners
Homeowners may submit requests for roofing or home improvement services by providing accurate information, including location, type of service, and contact details. Once a request is submitted, a Contractor may contact the Homeowner to provide a quote or perform services.
Homeowners and Contractors enter into independent agreements for services. Roof Positive is not a party to these agreements and does not guarantee pricing, quality, timeliness, or completion of any services. You understand and agree that Roof Positive:
Will not participate in disputes between Homeowners and Contractors;
Will not provide indemnification or assume liability for services performed;
Is not responsible for damages or losses caused by Contractors.
Contractors operate independently and must not present themselves as employees or representatives of Roof Positive. Neither party may bind the other to contracts or obligations.
2. Intellectual Property
Roof Positive Content
The Service and its content, including text, graphics, logos, images, videos, software, and other materials (collectively, “Content”), are owned or licensed by Roof Positive. All rights not expressly granted are reserved.
You may use the Service and Content solely for:
Learning about the Service;
Connecting with Contractors if you are a Homeowner;
Connecting with Homeowners if you are a Contractor.
You may not:
Copy, scrape, or monitor the Service without permission;
Bypass security or technological protections;
Use the Service to create a competing service;
Harass, mislead, or impersonate others;
Remove copyright or proprietary notices.
User Content
You may submit content, feedback, or information (“User Content”). By submitting, you grant Roof Positive a worldwide, perpetual, royalty-free license to use, reproduce, distribute, modify, and display your User Content in connection with the Service.
You represent and warrant that:
You own or have rights to the User Content;
User Content does not violate laws or third-party rights;
User Content does not include viruses or harmful components;
You have obtained all necessary permissions to share personal data included in User Content.
We may remove User Content that violates these Terms or is otherwise objectionable.
3. Use Restrictions
You agree not to:
Post illegal, offensive, defamatory, or pornographic material;
Collect personal data without consent;
Use automated methods to access or overload the Service;
Interfere with the Service’s security or operations;
Misrepresent your relationship with Roof Positive or others.
Violation may result in termination of access and legal action.
4. Warranties and Disclaimers
The Service and Content are provided “as is” without warranties of any kind. Roof Positive does not guarantee:
Service availability or uninterrupted operation;
Accuracy or completeness of information;
Any services performed by Contractors.
You release Roof Positive from all liability related to disputes or damages caused by Contractors.
5. Limitation of Liability
Roof Positive and its affiliates, officers, and employees are not liable for:
Direct, indirect, incidental, or consequential damages from use of the Service;
Contractor actions, employee actions, or property damage;
Errors, omissions, or interruptions in the Service.
Where prohibited by law, these limitations do not apply. Aggregate liability shall not exceed the amount paid by you to Roof Positive in the preceding 12 months.
6. Indemnification
You agree to defend and indemnify Roof Positive from claims, damages, losses, or expenses arising from:
Your breach of these Terms;
Your use of the Service;
Your violation of law or third-party rights;
Disputes between Homeowners and Contractors.
7. Arbitration and Class Action Waiver
Binding Arbitration: Except for intellectual property disputes or small claims, disputes must be resolved through binding arbitration under the American Arbitration Association rules. Arbitration occurs in Denison, Texas, under Texas law.
Class Action Waiver: Arbitration is individual only; class actions are waived.
Opt-Out: You may opt out of arbitration within 30 days of first using the Service by emailing [email protected] with the subject line: “ARBITRATION OPT-OUT.”
8. Electronic Communications
By providing your contact information, you agree to receive electronic communications, including Service updates and notifications. Promotional emails may be unsubscribed from via instructions in the emails.
9. Third-Party Websites and Services
Some Service features may rely on third-party services. Roof Positive is not responsible for third-party content, services, or downtime.
10. Changes to Terms
Roof Positive may update these Terms at any time by posting a revised version. Material changes will be communicated by email or on the Service. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Texas, USA.
